Terms of Service

Please read these terms carefully. By accessing or using the MuseumStack platform, you agree to be bound by this Subscriber Agreement. If you do not agree, you must not use the service.
1. Parties & Definitions
This agreement ("Agreement") is between MuseumStack Solutions Pty Ltd (ACN 696 311 083, t/a MuseumStack, "MuseumStack", "we", "us") and you, the institution or individual ("Subscriber", "you") that creates an account on, or accesses, the MuseumStack platform ("Platform").
- "Platform" means the MuseumStack cloud-based collection management system, including all web interfaces, APIs, and associated services.
- "Subscriber Data" means all data, files, records, and media uploaded to the Platform by the Subscriber.
- "Subscription" means the paid or free tier access plan chosen by the Subscriber.
- "Users" means individuals authorised by the Subscriber to access the Platform under the Subscriber's account.
- "Documentation" means operating guides, help articles, and related materials we provide.
2. Account Registration
To use the Platform, you must:
- Provide accurate and complete registration information and keep it up to date
- Be at least 18 years old, or have the authority to bind your organisation
- Keep your password and multi-factor authentication credentials confidential
- Notify us immediately of any unauthorised access to your account at security@museumstack.com
You are responsible for all activity that occurs under your account, including the conduct of your Users.
3. Subscriptions & Payment
3.1 Plans & Fees
Subscription fees are published on our Pricing page and are billed monthly or annually in advance. All prices are quoted in Australian Dollars (AUD) and are inclusive of GST.
3.2 Upgrades & Downgrades
Upgrades take effect immediately with a prorated charge. Downgrades take effect at the start of the next billing cycle, and you retain your current plan's features until then.
3.3 Payment Processing
Payments are processed by Stripe Inc. Your financial data is subject to Stripe's terms and privacy policy. We do not store raw card details.
3.4 Overdue Payments
If payment is not received within 14 days of the due date, we reserve the right to suspend access to the Platform. Accounts suspended for non-payment may be terminated after 30 days. We are not liable for any data loss resulting from termination due to non-payment.
4. Subscriber Data & Ownership
You own your data. You retain all intellectual property rights in Subscriber Data. By uploading content to the Platform, you grant MuseumStack a limited, non-exclusive, royalty-free licence to host, store, reproduce, and display such content solely to provide the Platform services.
We will not access your Subscriber Data except: (a) as required to provide the service; (b) upon your authorisation; (c) as required by law; or (d) to investigate a breach of this Agreement.
You are solely responsible for the accuracy, legality, and quality of Subscriber Data, including ensuring you have the rights to upload any third-party content.
5. Acceptable Use
You agree not to use the Platform to:
- Upload or transmit content that is unlawful, defamatory, obscene, or infringes third-party rights
- Attempt to gain unauthorised access to any system, network, or data
- Reverse engineer, decompile, or disassemble any part of the Platform
- Resell, sublicense, or commercialise access to the Platform without our written consent
- Introduce malware, viruses, or any harmful code
- Use the Platform in a manner that violates any applicable law or regulation
We reserve the right to suspend or terminate any account that violates these terms without prior notice.
6. Service Availability & SLA
We target 99.5% monthly uptime for paying subscribers, excluding planned maintenance windows. Maintenance is typically performed outside business hours AEST and with at least 48 hours' notice for major disruptions.
We do not guarantee that the Platform will be error-free or uninterrupted and are not liable for losses arising from temporary unavailability.
7. Intellectual Property
All intellectual property in the Platform — including software, design, trademarks, and documentation — is owned by or licenced to MuseumStack. Nothing in this Agreement transfers any ownership rights to you.
The MuseumStack name and logo are registered trademarks of MuseumStack Solutions Pty Ltd. You may not use our trademarks without prior written consent.
8. Confidentiality
Each party agrees to hold the other's Confidential Information in confidence and not to disclose it to any third party without prior written consent. Confidential Information excludes information that: (a) is publicly known; (b) was already known to the receiving party; or (c) is independently developed.
9. Warranties & Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT, EXCEPT TO THE EXTENT REQUIRED BY AUSTRALIAN CONSUMER LAW.
To the extent permitted by the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2), any implied warranties are limited to the minimum period permitted by law and, at our election, to re-supply of the service.
10. Limitation of Liability
To the maximum extent permitted by law, MuseumStack's total liability to you for any claim arising from or related to this Agreement will not exceed the total fees paid by you in the 12 months preceding the claim.
Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, revenue, data, or goodwill.
11. Termination
11.1 By You
You may cancel your Subscription at any time via the Billing settings in the Platform. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a billing period.
11.2 By Us
We may terminate or suspend your access immediately if: (a) you breach this Agreement; (b) required to do so by law; or (c) following 30 days' notice for any other reason.
11.3 Effect of Termination
Upon termination, you may request an export of your Subscriber Data within 90 days. After that period, we will permanently delete your data in accordance with our Privacy Policy.
12. Governing Law & Disputes
This Agreement is governed by the laws of Queensland, Australia. Both parties submit to the exclusive jurisdiction of the courts of Queensland and Australia. Before commencing legal proceedings, the parties agree to attempt resolution in good faith through mediation.
13. Changes to This Agreement
We may update these Terms from time to time. We will notify Subscribers of material changes by email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.
